Agreement.

Parties: CARPENTER (IE Plotnikov S.A.) and the Client
Jurisdiction: Russian Federation
1. Subject of the Agreement
This agreement regulates the relationship between CARPENTER and the client regarding confidential information that may be disclosed during cooperation. The parties agree to keep all confidential information received under this agreement secret.
2. Definition of Confidential Information
Confidential information includes, but is not limited to: trade secrets, business plans, financial information, client data, source code, algorithms, marketing strategies, and any other information explicitly designated as confidential.
3. Obligations of the Parties
Each party agrees: (a) not to disclose confidential information without the written consent of the other party; (b) to use confidential information only for the purposes provided for in this agreement; (c) to take all necessary measures to protect the confidential information.
4. Exceptions
This agreement does not apply to information that: (a) is in the public domain; (b) was known to the party prior to disclosure; (c) must be disclosed in accordance with the laws of the Russian Federation; (d) was developed independently.
5. Term
This agreement enters into force on the date of signature and is valid for 3 years, unless otherwise provided by a written agreement of the parties.
6. Termination
Either party may terminate this agreement by giving written notice to the other party 30 days prior to the date of termination.
7. Governing Law
This agreement is governed by and construed in accordance with the laws of the Russian Federation.
